At 9:00 a.m. EasternTime on 31 August 2015 Carnival plc had 216,154,963 issued ordinary shares ofUS$1.66 each admitted to trading.Carnival plc holds nil ordinary shares in Treasury. <?xml:namespace prefix="o" ns="urn:schemas-microsoft-com:office:office"?>

Although Carnivalplc has 216,154,963 issued ordinary shares, the 27,820,144 ordinary shares held by Carnival InvestmentsLimited and 1,115,450 ordinary shares held by Carnival Corporation do not carrythe right to vote (in accordance with the Articles of Association of Carnivalplc).

Therefore, the total number of voting rightsin Carnival plc is 187,219,369. The above figure of 187,219,369 may be used by shareholders (and otherswith notification obligations) as the denominator for the calculations by whichthey will determine if they are required to notify their interest in, or achange in their interest in, Carnival plc under the FSA's Disclosure andTransparency Rules.
